Scope of application<\/strong>
1.1. The following General Terms and Conditions apply to all business relationships between Thermowhite GmbH and a business or consumer as defined by the Consumer Protection Act (KSchG), hereinafter referred to as the \u201eCustomer.\u201c.
The version valid at the time of contract conclusion, which is published on our homepage www.thermowhite.com, is authoritative.
1.2. We contract exclusively on the basis of our General Terms and Conditions. The Customer's General Terms and Conditions shall not become part of the contract, even if we are aware of them, unless their validity is expressly confirmed by us in writing.<\/p>\n\n\n\n

2) Order \/ Contract conclusion<\/strong>
2.1. Our offers and cost estimates are, unless expressly stated otherwise, non-binding. Information contained in catalogs, brochures, and the like is only binding if it is expressly referred to in the order confirmation; otherwise, such information is considered an invitation for the customer to submit an offer. We reserve the right to accept orders in all cases.
2.2. For the mutual contractual obligations, only our written order confirmation is decisive. Promises, assurances, and guarantees on our part or agreements deviating from these GTC in connection with the conclusion of the contract only become binding for customers through our written confirmation. Oral side agreements only become legally valid when they are confirmed by us in writing.
2.3. Yield and consumption figures are average values. No liability can be derived from this, as the amount consumed depends on the nature of the substrate and the processing. Information on (material) consumption quantities determined by us or otherwise available from our records is non-binding.<\/p>\n\n\n\n

Retention of title<\/strong>
3.1. We reserve ownership of the delivered goods until full payment of the purchase price.
3.2. If the customer is in default of payment, we are entitled, after setting a reasonable grace period, to repossess the goods at the customer's expense, even without the customer's consent.
3.3. In the event of attachment or any other claim by third parties, the customer is obliged to inform the third party of our ownership and to notify us immediately.<\/p>\n\n\n\n

4) Customer withdrawal \/ Cancellation<\/strong>
4.1. In the event of cancellation by the customer prior to delivery of the goods or prior to the provision of services, we are entitled to charge the customer a handling fee of 20 % of the gross order value. We expressly reserve the right to claim damages in excess of this amount.
4.2. We are not obligated to accept returns of goods that have already been delivered or (partial) services that have already been rendered. If, in individual cases, we agree to a cancellation after delivery or after (partial) services have been rendered, a cancellation fee amounting to 20 % of the gross order value shall be deemed agreed upon. We expressly reserve the right to claim damages in excess of this amount.<\/p>\n\n\n\n

5) Price and payment terms<\/strong>
5.1. All prices are exclusive of value-added tax, other price components, any shipping costs, and customs or other import duties. Costs for travel, daily allowances, and accommodation will be charged separately. Travel time is considered working time. Invoicing will always be based on the actual quantity of material used and not on the application area.
5.2. Should prices change due to circumstances beyond our control (collective labor agreements, material prices, customs duties, taxes, fees, etc.) between order confirmation and performance of service \/ delivery of goods, we are entitled to adjust the price stated in the order confirmation up to the time of performance \/ delivery to the extent of the change, whether it be a reduction or increase in price.
5.3. The amount shown on the invoice is due immediately. The customer is obligated to pay the invoice amount no later than 8 days after receiving the goods or services, unless the invoice specifies different payment terms. We are entitled to bill partial services with partial invoices. If the customer takes personal possession of the goods, they have the option of paying in cash.<\/p>\n\n\n\n

6) Customer's duty to cooperate<\/strong>
The customer is liable for ensuring that the necessary structural, technical, and legal conditions for the work to be produced or the item to be purchased are met, as described in the contract or in information provided to the customer prior to the conclusion of the contract, or as the customer should have known based on relevant expertise or experience. Our obligation to perform services begins at the earliest once the customer has created all structural, technical, and legal prerequisites for execution.
6.2. In particular, the Customer shall have the following preliminary or co-operation obligations:
\u2013 The customer must, in good time before the commencement of works, provide us unsolicited with the necessary information regarding the location of concealed power, gas, and water lines or similar installations, escape routes, other structural obstacles, potential sources of danger, as well as the required structural data.
The access to the construction site or unloading point must be suitable for vehicles up to 35 tons gross weight.
The customer must obtain official permits in a timely manner and provide proof of their existence, as well as implement any necessary protective measures.
\u2013 The creation of sufficiently reinforced truck parking areas (10m x 4m) or silo parking areas (4m x 4m), as well as adequate storage areas for our materials and rubble containers, and the disposal of rubble and residual waste are the responsibility of the client.
The construction site interior must be free of debris and building materials.
- The energy required for service delivery, including trial operation (at least a high-current connection with a minimum 32-ampere fuse, unless otherwise specified), and water volumes (at least a \u00be-inch water connection with a minimum water pressure of 2 bar, unless otherwise specified) shall be provided by the customer at their own expense.
A wash station for cleaning tools and pumps must be available.
\u2013 The customer must ensure that the room temperature in the affected rooms is at least 5 degrees Celsius.
The client must hand over all relevant documents (especially plans, expansion joint plans, etc.) completely.
\u2013 The determination of the starting point and confirmation of the level reference line per floor is the responsibility of the customer.
\u2013 Provisions for onsite closures must be prepared for openings, stairwells, doors, heavy stoves, and garage closing brackets or any later installations.
\u2013 It is pointed out that (according to \u00d6NORM) professional moisture sealing must be applied to soil-contacting floor surfaces.
The customer is responsible for the cleaning of the street and sidewalks required after the service has been rendered and shall bear the costs for it.
6.3. If these preliminary or cooperation obligations are not fulfilled by the customer, the customer shall be liable for all resulting damages.<\/p>\n\n\n\n

7) Delivery and Performance Periods<\/strong>
7.1. Delivery and performance deadlines are only binding for us if they are set in writing. The delivery of goods to consumers shall be made within a reasonable period, but in any case within 30 days. The period for provision\/delivery begins to run the day after the conclusion of the contract. If the end of the period falls on a Saturday, Sunday, or public holiday, the period shall end on the next working day.
7.2. The delivery period may be extended in the event of unforeseen circumstances beyond the parties' control, such as force majeure, transport delays, strikes, official measures, etc.
7.3. If the start or execution of the service is delayed or interrupted due to circumstances attributable to the customer, particularly due to a breach of the customer's cooperation obligations as set forth in section 6, the performance deadlines shall be extended accordingly and completion dates shall be postponed accordingly.<\/p>\n<\/div>\n\n\n\n

8) Customer Default<\/strong>
8.1. If the payment term is exceeded, late payment interest is due. The late payment interest rate for businesses is 9.2 percentage points above the base rate per year. For consumers, the late payment interest rate is 4% per year.
8.2. In the event of default, we are entitled to demand a lump sum of EUR 40.00 from entrepreneurs for collection costs. For further collection costs incurred by us, a lawyer, or a collection agency, and for consumers, these costs are to be reimbursed to the extent they are necessary and reasonable for appropriate legal action.
8.3. If the customer is in default with a (partial) service, we are entitled to withdraw from the contract by setting a reasonable grace period and, in the event of culpable default, to claim damages for non-performance.
8.4. If you are in default with advance payments, we shall be entitled, after setting a reasonable grace period, to dispose of the equipment and materials specified for the performance of the service in any other way. In the event that the performance of the service continues, we shall procure replacements within a reasonable period.
8.5. In case of default with advance payments, after setting a reasonable grace period, we are further entitled, but not obliged, to perform the advance payments required for order fulfillment ourselves or to have them performed by authorized third parties. In this case, the customer is obliged to bear the reasonable costs incurred.<\/p>\n\n\n\n

9) Transfer of Risk<\/strong>
9.1. For business customers, the risk of accidental loss and accidental deterioration of the goods passes as soon as we make the purchased item or material available for collection. In the case of mail-order purchases, the risk passes to the business customer as soon as we notify them that the goods are ready for shipment and delivery.
9.2. If the customer is a consumer, the transfer of risk shall only occur upon handover of the goods to the customer or to a third party designated by the customer, who is not the carrier.
Our work and services are deemed accepted by the customer at the time of written acceptance, or at the latest, when the customer makes use of them.<\/p>\n\n\n\n

10) Set-off and Retention<\/strong>
10.1. The right to set off claims against us is excluded. If the customer is a consumer, they have the right to offset their liabilities in the event of our insolvency or for counterclaims that are legally related to the consumer's liability, have been legally established or recognized by us.
10.2. The customer only has a right of retention if they are a consumer.<\/p>\n\n\n\n

11) Warranty<\/strong>
11.1. The warranty period for our services and new goods is two years for consumers and six months for businesses. For used goods, including demonstration and exhibition models, the warranty period is one year for consumers (\u00a7 9 Austrian Consumer Protection Act [KSchG]), and warranty is excluded for businesses.
11.2. If the customer is an entrepreneur, we shall, at our discretion, provide warranty for defects in the goods or services rendered by means of improvement or exchange.
11.3. A defect does not exist if errors occur due to improper or unintended use. In particular, the manufacturer's specifications must be observed for correct and intended use. Mandatory liability under Section 9a of the Consumer Protection Act (KSchG) remains unaffected.
11.4. In any case, the customer forfeits warranty claims if they or unauthorized third parties tamper with the goods or works and\/or carry out repairs or attempted repairs.
11.5. In the event of repair or exchange, we may require the customer to send the defective goods to us at their risk. If the customer is a consumer, we shall bear the risk of postage and this shall only apply to the extent that a return is feasible.
11.6. The necessary costs of improvement or replacement, in particular shipping, labor, travel, and material costs, are to be borne by the customer. This does not apply if the customer is a consumer (\u00a7 8 KSchG).
11.7. If the customer is an entrepreneur, they are obligated to examine the goods for any defects immediately after delivery, in the ordinary course of business, or the work upon acceptance. Notified defects must be reported to us in writing by the customer immediately, but no later than 14 days after delivery\/acceptance, otherwise the delivered goods and work performed will be considered accepted and no claims for warranty, damages due to the defect itself, or claims arising from a mistake regarding the absence of defects can be asserted. If the customer discovers defects at a later date, they are obligated to report these to us immediately in writing, but no later than 14 days after becoming aware of them or after the point in time at which they would have become aware of them with due diligence, otherwise they will lose the aforementioned claims. \u00a7\u00a7 377, 378 UGB apply.
11.8. If the customer is an entrepreneur, the statutory reversal of the burden of proof for defective goods\/workmanship at the time of handover\/acceptance according to \u00a7 924 ABGB, as well as the right of recourse according to \u00a7 933b ABGB, are excluded.
11.9. The consumer is entitled to withhold a maximum of five percent of the gross price if they assert legitimate warranty claims.
11.10. Unless otherwise agreed in writing, we provide no warranty for our goods and services to our customers. Manufacturer warranties remain unaffected by this.<\/p>\n\n\n\n

12) Damages and Liability<\/strong>
12.1. If we are liable for damages, we are only liable for intent and gross negligence. If the customer is a consumer, we are also liable for simple negligence. Any further liability is excluded.
12.2. We expressly do not assume liability for damages caused by slight negligence, this also applies to damage to items accepted for processing. Personal injuries are excluded from this.
12.3. We are not liable for indirect damages in particular.
12.4. We assume no liability for the currency, correctness, completeness, and content of the information provided.
12.5. We accept no liability for delayed delivery caused by circumstances beyond our control.
12.6. Any recourse claim of the entrepreneurial customer under the provisions of the Product Liability Act is excluded.
12.7. The reversal of the burden of proof according to \u00a7 1298 ABGB is excluded. This does not apply if the customer is a consumer.<\/p>\n\n\n\n

Shortening by more than half<\/strong>
The right to contest a contract due to a reduction by more than half according to \u00a7 934 ABGB (laesio enormis) is excluded. This does not apply if the customer is a consumer.<\/p>\n\n\n\n

14) Place of Performance and Jurisdiction<\/strong>
The place of performance is the registered office of Thermowhite GmbH.
14.2. The place of jurisdiction for disputes arising from or in connection with the contract between the customer and us, or with these General Terms and Conditions, shall be the court having local jurisdiction at our registered office, with the exception of mandatory statutory places of jurisdiction for consumers.<\/p>\n\n\n\n

15) Choice of Law<\/strong>
Austrian law, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods, shall apply exclusively. For consumers, this choice of law applies with the exception of the mandatory provisions of the law of the consumer's habitual residence.<\/p>\n\n\n\n

16) Severability Clause<\/strong>
Should a provision in these General Terms and Conditions be or become invalid, the validity of the other provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely approximates the economic and legal intent of the provision to be replaced.<\/p>\n\n\n\n
